Synex AI Labs ("we", "us", "our") is an AI automation agency operating in South Africa. These Terms & Conditions govern your use of our website at synexailabs.com and any services we provide to you.

2. Services

Synex AI Labs provides the following services:

• AI chatbot and conversational agent development
• API and systems integration
• Document processing and data extraction

The specific scope, deliverables, timeline, and pricing of any engagement will be agreed upon in writing before work commences.

3. Enquiries and Proposals

Submitting an enquiry through our website does not constitute a binding agreement. A formal engagement only begins once both parties have agreed to a written proposal or service agreement.

We reserve the right to decline any enquiry or project at our discretion.

4. Intellectual Property

Unless otherwise agreed in writing:

• Any custom automation systems, code, or workflows built specifically for your business become your property upon full payment
• Generic tools, frameworks, and methodologies we use remain the property of Synex AI Labs
• You grant us the right to reference your project as part of our portfolio, unless you request confidentiality in writing

5. Confidentiality

We treat all client information, business processes, and data shared with us as strictly confidential. We will not disclose your confidential information to third parties without your written consent, except where required by law.

6. Limitation of Liability

Synex AI Labs provides services on a best-efforts basis. While we aim for the highest quality and accuracy in all deliverables:

• We are not liable for any indirect, incidental, or consequential losses arising from the use of our services
• Our total liability in any circumstance is limited to the amount paid for the specific service in question
• We are not responsible for third-party platforms, APIs, or tools that form part of a solution

7. Payment

Payment terms will be outlined in the project proposal. Unless otherwise agreed:

• A deposit may be required before work commences
• Final payment is due upon project completion and delivery
• Late payments may result in work being paused until payment is received

8. Termination

Either party may terminate a project engagement with written notice. In the event of termination:

• You are liable for payment for all work completed up to the termination date
• We will deliver all completed work and relevant files to you

9. Governing Law

These Terms & Conditions are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.

10. Changes to These Terms

We may update these Terms & Conditions from time to time. The latest version will always be available on this page. Continued use of our website or services constitutes acceptance of any updated terms.
